These Software Terms and Conditions govern access to and use of the Enlighty platform, dashboards, artificial intelligence features, analytics, reports and related services (the "Services").
The Services are provided by Enlighty Limited, company number 16684001, registered in England and Wales ("Enlighty", "we", "us" or "our").
These Terms apply to the organisation purchasing or using the Services ("Customer").
By purchasing, accessing or using the Services, the Customer agrees to these Terms.
The Services are intended for business and professional use.
1. The Services
Enlighty is an AI-native consumer and market intelligence platform that uses artificial intelligence, machine learning, natural language processing, statistical modelling and other computational methods to analyse digital data and generate insights.
Depending on the applicable service and available data, Enlighty may provide analysis relating to emotions, consumer journeys, brand health, brand equity, trends, topics, root causes, forecasts, competitive positioning and AI-generated recommendations.
Features and data coverage may vary by product, subscription plan, country, language, sector and data availability.
2. Right to Use the Services
Subject to payment of applicable fees, Enlighty grants the Customer a limited, non-exclusive and non-transferable right to access and use the Services during the applicable subscription period for its business purposes.
The Customer is responsible for activity carried out through its account and for keeping account credentials secure.
The Customer may use reports, charts, analyses and other outputs generated through the Services for its legitimate internal and client-facing business purposes.
3. Restrictions
The Customer must not:
- provide unauthorised third parties with access to the Services;
- copy, resell or redistribute the Services except with Enlighty's written permission;
- reverse engineer, decompile or attempt to discover Enlighty's source code, models or non-public technical architecture;
- systematically scrape or extract the Services or underlying databases;
- circumvent security or usage restrictions;
- interfere with the operation of the Services;
- use the Services to create a substantially similar or competing platform; or
- use the Services for unlawful purposes.
4. Enlighty Intellectual Property
Enlighty retains all rights in the Services and the technology underlying them.
This includes Enlighty's software, source code, algorithms, AI and machine-learning models, analytical models, methodologies, frameworks, workflows, databases, taxonomies, interfaces, designs, documentation and know-how.
Access to the Services does not transfer ownership of Enlighty's intellectual property to the Customer.
Customer-specific reports and outputs may be used by the Customer in accordance with Section 2. The underlying Enlighty technology, methodology and reusable analytical components remain the property of Enlighty.
5. AI and Analytical Outputs
The Services use artificial intelligence, statistical models and computational methods.
Outputs may include classifications, analyses, forecasts, explanations and recommendations.
The Customer is responsible for determining whether an output is appropriate for its intended use and should apply appropriate human and professional judgment before making significant decisions based on an output.
AI-generated and statistical outputs may contain errors, uncertainties or incomplete information.
Forecasts and predictions are analytical estimates and do not guarantee future events or results.
The Services do not constitute legal, financial, medical, investment or other regulated professional advice.
6. Data Sources
The Services may analyse information from sources including publicly accessible online content, social media, websites, forums, blogs, e-commerce platforms, licensed data, surveys and other permitted sources.
Availability of third-party data may change as a result of changes to APIs, licences, platform policies, technical accessibility or legal requirements.
Enlighty does not control third-party platforms and does not guarantee the continued availability or accuracy of information originating from those platforms.
Enlighty may modify or replace data sources when reasonably necessary.
7. Subscriptions and Payment
Subscription fees, duration, features and applicable usage limits will be specified in the Customer's order, proposal, subscription confirmation or marketplace listing.
The Services may be purchased directly from Enlighty or through an authorised third-party marketplace.
Where a purchase is made through a marketplace, billing, payment, renewal and cancellation processes may also be governed by the marketplace provider's terms.
Unless otherwise stated, fees are exclusive of applicable taxes.
8. Service Availability
Enlighty will use commercially reasonable efforts to make the Services available and operate them reliably.
We do not guarantee uninterrupted or error-free operation.
The Services may occasionally be unavailable because of maintenance, updates, technical issues, security requirements, third-party service failures or circumstances outside Enlighty's reasonable control.
Enlighty may update and improve the Services and their features from time to time.
9. Confidentiality
Each party will protect non-public information received from the other party that is identified as confidential or should reasonably be considered confidential.
Confidential information may only be used for purposes relating to the Services and must not be disclosed to third parties except where required by law or reasonably necessary to provide or use the Services.
10. Disclaimer
Except where expressly agreed otherwise, the Services and outputs are provided on an "as available" basis.
To the maximum extent permitted by law, Enlighty does not guarantee that outputs will always be accurate, complete, error-free or suitable for a particular business decision.
11. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
Subject to the above, Enlighty will not be liable for indirect or consequential losses, or for loss of profit, revenue, business opportunity, goodwill or anticipated savings arising from use of the Services.
Enlighty's total aggregate liability arising from the Services will not exceed the fees paid or payable by the Customer for the Services during the twelve months preceding the event giving rise to the claim.
12. Suspension and Termination
Enlighty may suspend access to the Services where reasonably necessary because of non-payment, a material breach of these Terms, unlawful use or a material security risk.
Either party may terminate the Services where the other party materially breaches these Terms and fails to remedy the breach within a reasonable period after receiving notice.
When a subscription expires or is terminated, the Customer's right to access the Services ends.
13. Changes to These Terms
Enlighty may update these Terms from time to time to reflect changes in the Services, applicable law, technology or marketplace requirements.
Material changes affecting an existing paid subscription will not apply retroactively unless required by law.
14. General
Neither party will be liable for a failure or delay caused by circumstances outside its reasonable control.
If any part of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
A failure to enforce any provision of these Terms does not constitute a waiver of that provision.
If the Customer has entered into a separate written agreement with Enlighty and there is a conflict between that agreement and these Terms, the separate written agreement will prevail.
15. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms, except where applicable law requires otherwise.
